Duties/Responsibilities:
* Drafting and reviewing key corporate documents such as contracts, agreements, and internal policies. Ensuring accuracy and compliance with legal standards.
* Preparing and maintaining essential corporate governance documents, including minutes of board meetings, resolutions, and annual reports. This helps ensure the company adheres to legal and regulatory requirements.
* Assisting with compliance tasks related to federal, state, and industry-specific regulations. This includes preparing and filing required documents with regulatory agencies and keeping track of compliance deadlines.
* Conducting research on legal issues pertinent to the company's operations, including case law, statutes, and regulatory changes. Summarizing findings and providing insights to support the legal team.
* Managing the lifecycle of contracts, including drafting, reviewing, tracking deadlines, and handling renewals or amendments. Ensuring all agreements are up-to-date and properly executed.
* Assisting with due diligence processes during corporate transactions such as mergers, acquisitions, or financing. Organizing and reviewing documents and records relevant to the transaction.
* Supporting the legal team in litigation matters by organizing case files, preparing discovery documents, and managing evidence. Coordinating with outside counsel as needed.
Education and Key Job Competencies:
* Must have experience in tax, lending, and real estate
* Must be able to be onsite
